Terms & Conditions
Last Updated: October 28, 2026
Effective Date: October 16, 2026
IMPORTANT: THESE TERMS CONTAIN PROVISIONS THAT LIMIT MY LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE DISPUTES INDIVIDUALLY. PLEASE READ CAREFULLY BEFORE USING THIS WEBSITE OR ENGAGING MY SERVICES.
These Terms and Conditions (“Terms”) form a legally binding agreement (“Agreement”) between you (“you” or “your”) and shushanik.co (“I,” “me,” or “my”). shushanik.co is operated by Shushanik Gyozalyan, Individual Entrepreneur (TIN 67290936), registered at 41 Tigran Mets Ave, Vanadzor 2001, Republic of Armenia. The term “Website” refers to all pages, features, and content available at shushanik.co.
By accessing my Website, creating an account, or engaging any of my services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not use my Website or services.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
1. Scope of This Agreement
These Terms govern your access to and use of the Website, including all content and services made available through it. This Agreement constitutes the complete and exclusive understanding between you and me with respect to the Website, and supersedes any prior oral or written communications regarding your use of it.
Specific terms relating to any services you engage me for will be set out in a separate client agreement. In the event of any conflict between these Terms and a separate client agreement, the client agreement will take precedence with respect to the services covered by it. Where these Terms and the Refund & Cancellation Policy differ on refunds, cancellations or handover, the Refund & Cancellation Policy applies.
2. Eligibility
My Website and services are intended for use by individuals who are at least 18 years of age and who are legally capable of entering into a binding agreement. By using my Website, you confirm that you meet these requirements.
My Website is not directed at children under the age of 18. If you are under 18, you are not permitted to use this Website or engage my services. If I become aware that a person under 18 has submitted personal information through my Website, I will take steps to remove it promptly.
3. Changes to These Terms
I may update these Terms from time to time. When I do, I will revise the “Last Updated” date at the top of this page and make reasonable efforts to notify you of any material changes. Unless a change is required for legal or administrative reasons, updates will take effect 5 business days after the revised Terms are posted to the Website.
Your continued use of the Website after any update takes effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, please stop using the Website.
4. My Services
I offer website development services: building, testing and launching websites, and looking after them once they are live. Fixed-price packages, such as the 5-Page Website Build, are described on the Website together with their prices. Larger or custom projects are scoped and priced individually, and are subject to a separate client agreement that sets out the specific scope, deliverables, timeline, fees, and conditions for that project.
I reserve the right to modify, suspend, or discontinue any aspect of my Website or services at any time. I will not be liable to you or any third party for any such modification, suspension, or discontinuance.
For details of my refund guarantee for website development projects, please see the Refund & Cancellation.
Delivery of services
- My services are delivered online. Nothing is shipped physically, and there are no delivery charges.
- Work starts once I have received your content, your materials and your payment. Most projects are finished within 1 to 2 weeks from that point. Larger or more complex projects can take 4 to 6 weeks. The timeline is agreed with you before I start.
- Urgent delivery may be available at an extra cost, shown on the Website, and only when my schedule allows. Please ask before you order.
- These timelines cover my own work. Steps that depend on other providers, such as a bank or payment provider approving a first-time online payment setup, can take longer and are outside my control.
- The finished website is delivered by publishing it on your domain and giving you a full copy of its files. Delivery is complete when you approve the website or when the 24-hour window described in the Refund & Cancellation Policy ends.
- I work with clients in Armenia and abroad. There are no restrictions on delivery outside Armenia, except where the law does not allow me to provide the service.
5. User Accounts
Certain areas of my Website may require you to register for an account. By creating an account, you agree to:
- Provide accurate, complete, and up-to-date information at registration
- Keep your login credentials secure and not share them with any other person
- Notify me immediately at legal@shushanik.co if you become aware of any unauthorized use of your account
- Accept full responsibility for all activity that takes place under your account, whether or not authorized by you
Accounts are personal in nature and may not be transferred to another person. I reserve the right to suspend or terminate accounts that are found to be in breach of these Terms, used fraudulently, or inactive for an extended period.
6. Your Obligations and Representations
By using my Website and services, you represent and warrant to me that:
- You have the legal right and authority to enter into this Agreement
- All information you submit to me, whether through forms, account registration, or any other means, is accurate, current, and complete
- You will promptly update any information you provide to keep it accurate
- Your use of the Website and any services will comply with all applicable laws and regulations
- You will not use the Website or my services in any way that causes, or is likely to cause, harm to me, my clients, or any third party
7. Content You Submit
You are solely responsible for any content, materials, or information you upload, provide, or make available through my Website or in connection with any services (“User Content”). By submitting User Content, you confirm that:
- You own the content or have the necessary rights, licenses, and permissions to use it and to allow me to use it as needed to deliver my services
- Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
- Your User Content does not violate any applicable law or these Terms
By providing User Content to me, you grant me a limited, non-exclusive license to use, store, and process that content solely for the purpose of performing the services you have engaged me for. I am not responsible for any inaccuracies or errors in User Content you provide, and I may rely on it as submitted.
8. Acceptable Use
You may use my Website for lawful purposes only. You agree not to, and not to permit any third party to:
- Use the Website in any way that violates applicable local, national, or international laws or regulations
- Attempt to gain unauthorized access to any part of my Website, servers, databases, or connected systems
- Copy, reproduce, distribute, or create derivative works from any of my Website content without prior written permission
- Use any automated scripts, bots, or scraping tools to extract content or data from the Website
- Upload or transmit any content that is harmful, offensive, defamatory, or that infringes the rights of any third party
- Use the Website to send unsolicited communications, spam, or promotional material
- Interfere with or disrupt the operation or security of the Website
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
I reserve the right to suspend or terminate your access to the Website immediately if I reasonably believe you have breached any of the above.
9. Intellectual Property
a) My Website and Content
All content on this Website, including text, graphics, logos, images, and overall design, is owned by or licenced to me and is protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, reproduce, distribute, or use any of my content in any form without my prior written permission.
b) Work I Create for You
Until handover, the development, the designs and any content I have produced for the project remain mine. The content and materials you provide are always yours.
Ownership of the final website and its custom-developed assets transfers to you at handover, that is, once the 24-hour window described in the Refund & Cancellation Policy has closed without a refund request. You are then free to use, modify, and build upon the delivered work for your own business purposes.
After handover, I may retain a copy of your website’s source files as a backup for up to 3 years. This copy is kept solely as a courtesy backup. It is not a storage service, and I am under no obligation to keep, maintain or return it. You are responsible for keeping your own copy of the files delivered to you at handover. I accept no liability if the backup copy is deleted, lost, damaged or becomes unavailable for any reason. You may ask me to delete it at any time after handover by emailing legal@shushanik.co.
If you request a refund, nothing transfers: the development, the designs and the content I produced remain mine, and I may show them in my portfolio or adapt them and sell them to another client. What you provided stays yours.
Unless you ask me not to, I may show your finished website in my portfolio and my marketing: on this website, in proposals and on social media. That is how new clients see the work I do.
If you would rather I did not, email me at legal@shushanik.co before the project is completed. No reason is needed. Once the finished website has been presented to you, the opt-out has passed. If anything of yours is already on my own channels, I take it down within 5 business days, although anything already printed or published elsewhere may take longer to withdraw.
c) Your Content and Materials
You retain full ownership of all content and materials you provide to me. By providing them, you grant me a limited licence to use them solely for delivering your project. You are responsible for ensuring you have the right to use and share all materials provided, and you take full responsibility for any intellectual property claims arising from content you have supplied.
d) Feedback
Any comments, suggestions, testimonials, or other feedback you provide regarding my Website or services is entirely voluntary. I am free to use any such feedback for any purpose, without notice, payment, or any other obligation to you.
e) Third-Party Tools and Platforms
Projects may incorporate third-party tools, libraries or platforms. These remain subject to their own licensing terms, and it is your responsibility to ensure continued compliance with those terms after project handover.
10. Payments and Fees
- Prices. Prices are set in Armenian dram (AMD). The Website can also show them in US dollars (USD) or euros (EUR), converted at a fixed rate that I set. All fees are agreed before any work begins. The price shown is the full amount you pay me for that service.
- Paying by card. Card payments are processed by Ameriabank CJSC on the bank’s secure payment page. Visa, Mastercard and ArCa cards are accepted, as are Apple Pay and Google Pay where the bank offers them. Your card details are entered on the bank’s page only. They are never entered on this Website and I never see or store them. Payments are verified with 3-D Secure.
- Currency. If your billing address is in Armenia, card payments are charged in AMD. If it is outside Armenia, you may pay in AMD, USD or EUR, and you are charged the amount shown at checkout in the currency you chose. If your card is in a different currency from the charge, your bank converts the amount at its own rate and may add its own fee.
- No card surcharge. I charge no extra fee for paying by card. The price and terms are the same whichever payment method you use.
- Bank transfer. You may pay by bank transfer instead. Ask me for the details.
- Refunds and cancelled payments. A card payment stopped within 72 hours of being made is cancelled at the bank and released back to your card; after that it can only be refunded, as a separate credit to the same card. Refunds are never paid in cash, and may be for the whole amount or for part of it. The Refund And Cancellation Policy says when each applies.
- One payment per order. Each order is paid once. I do not take automatic or recurring payments and I keep no card on file. A project is paid in parts only if you and I have agreed that in writing beforehand.
- When payment is due. Payment is due before work starts, unless your client agreement says otherwise. If an amount remains unpaid when due, I may pause the work until it is received.
- Costs from other providers. A domain name, hosting and any paid third-party tools are paid by you directly to those providers and are not part of my price.
- Photos. If you have no photos of your own, I find stock photos or make them with AI. Up to 20 are included in the price of a website build. Finding or making more costs 4,000 AMD an hour, and I agree the time with you before I start. A photographer, if you book a shoot, is paid by you directly.
- Care. Any change or fix you ask for after handover counts as Care. The first year is free; after that, you can carry on with the Care Plan or Pay As You Go. Handover is the moment the 24-hour window described in the Refund & Cancellation Policy closes without a refund request. The Care Plan is 60,000 AMD a year and covers up to 2 hours of updates a month (unused hours do not carry over). Pay As You Go is 4,000 AMD an hour, charged only for the time used. Neither renews automatically: nothing is charged until you choose.
- Refunds. Refunds are made as described in the Refund & Cancellation. A refund of a card payment goes back to the card that was used. Refunds are never paid in cash.
- Taxes in your country. Any taxes or bank charges that apply to your purchase under the laws of your own country are your responsibility.
- Records. I keep records of transactions for at least 3 years, as my agreement with the bank requires.
11. Disclaimer of Results
My service covers the creative design and technical development of your website. I apply professional care, skill, and industry best practices to every project. However, I make no promises, guarantees, or representations regarding any specific business outcomes arising from my work, including but not limited to: increased traffic, sales, conversions, search engine rankings, or revenue.
Any results achieved by past clients are provided as examples only and are not a guarantee or prediction of what you will achieve. Individual results will vary depending on a wide range of factors unique to your business, including your market, audience, content, and efforts. Your results are ultimately your own responsibility.
12. No Professional Advice
Nothing on this Website constitutes legal, financial, accounting, or other professional advice. All content is provided for general informational purposes only. You should always seek the advice of a qualified professional with respect to your specific circumstances before making any decisions based on information found on this Website.
Your use of my Website or services does not create any professional or advisory relationship between you and me beyond the scope of the services explicitly agreed upon.
13. Website Disclaimer
My Website and its content are provided on an “as is” and “as available” basis. I make no warranties or representations of any kind, express or implied, regarding the accuracy, completeness, reliability, or availability of the Website or its content.
I do not guarantee that the Website will be uninterrupted, error-free, or free from viruses or other harmful components. You are responsible for ensuring your own devices and systems are adequately protected. Nothing in these Terms affects any statutory rights you may have as a consumer that cannot be excluded by contract.
14. Indemnity
You agree to indemnify, defend, and hold harmless shushanik.co and its owners, employees, contractors, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) that arise from or relate to:
- Your use of or access to my Website
- Any content or materials you submit to me
- Your breach of any representation, warranty, or provision of these Terms
- Your violation of any applicable law or the rights of any third party
I will provide you with reasonable notice of any such claim and reserve the right to participate in its defense at my own expense.
15. Limitation of Liability
To the fullest extent permitted by applicable law, I shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or reputational damage, arising from or related to your use of my Website or services, even if I have been advised of the possibility of such losses.
My total aggregate liability to you for any claim arising from or related to these Terms, my Website, or my services shall not exceed the greater of (a) AMD 50,000, or (b) the total amount you paid me in the one-month period immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits my liability for fraud, gross negligence, or any other liability that cannot lawfully be excluded or limited.
16. Third-Party Links and Services
My Website may contain links to external websites or reference third-party tools and platforms. These are provided for your convenience only. I have no control over the content, privacy practices, or availability of third-party websites and accept no responsibility for any loss or damage arising from your use of them. The inclusion of any link does not imply my endorsement.
Any third-party services incorporated into a project (such as hosting, email platforms, or payment processors) operate under their own terms and policies. I am not a party to those agreements and accept no responsibility for the performance, security, or conduct of third-party platforms after project handover.
17. Force Majeure
I will not be liable for any failure or delay in performing my obligations where such failure or delay results from circumstances beyond my reasonable control, including but not limited to: acts of God, natural disasters, war, civil unrest, government action, pandemic, widespread internet outage, or failure of third-party services I rely upon.
In such circumstances, I will make reasonable efforts to notify you promptly and to resume performance as soon as practicable.
18. Dispute Resolution
I genuinely hope that any issues can be resolved through open and honest communication. If a dispute arises between us, I ask that you first contact me at legal@shushanik.co to give me a reasonable opportunity to resolve the matter informally. I will endeavor to respond and work towards a resolution within 15 business days of receiving your notice.
If a dispute cannot be resolved informally within that period, either party may refer the matter to mediation as a first step before pursuing formal legal proceedings. You and I both agree to participate in mediation in good faith before escalating to the courts.
Any dispute that cannot be resolved through the above process shall be subject to the exclusive jurisdiction of the courts of the Republic of Armenia, without prejudice to any mandatory rights you may hold under the laws of your own country of residence.
All disputes must be brought on an individual basis. You agree not to bring or participate in any class action, collective claim, or representative proceeding against me.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Armenia. Any legal proceedings arising from or in connection with these Terms shall be brought exclusively before the competent courts of Armenia, subject to any mandatory consumer protection rights applicable in your country of residence.
20. Time Limit on Claims
To the extent permitted by applicable law, any claim or cause of action arising out of or relating to your use of my Website or these Terms must be brought within one (1) year of the date on which the claim arose. Claims not brought within this period are permanently barred, unless a shorter or longer period is required by applicable law.
21. General Provisions
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
My failure to enforce any provision of these Terms on any occasion does not constitute a waiver of my right to enforce that provision in the future. All waivers must be made in writing to be effective.
You may not assign or transfer any of your rights or obligations under these Terms without my prior written consent. I may freely assign my rights and obligations under these Terms without restriction.
These Terms do not create any partnership, employment, agency, or joint venture relationship between you and me.
22. Privacy
Your use of my Website is also governed by my Privacy Policy, which is incorporated into these Terms by reference. Please review my Privacy Policy to understand how I collect, use, and protect your personal information.
23. Copyright Infringement Claims
I respect intellectual property rights. If you believe in good faith that any content on my Website infringes your copyright, please notify me in writing at legal@shushanik.co with the following information:
- A description of the copyrighted work you believe has been infringed
- A description of where the allegedly infringing content appears on my Website
- Your name, contact details, and email address
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, their agent, or applicable law
- A statement that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner
I will review all valid notices and take appropriate action in accordance with applicable law.
24. Termination
Either party may terminate an engagement or account by providing reasonable written notice, subject to the payment and refund terms applicable to any active project or service.
What is returned when a project is cancelled or refunded is set out in the Refund & Cancellation Policy.
I reserve the right to immediately suspend or terminate your access to my Website or services, with or without notice, if I reasonably believe you have materially breached these Terms, acted in bad faith, or engaged in conduct that is harmful to me, my clients, or any third party.
Upon termination: all rights granted to you under these Terms will cease; any outstanding amounts owed by you will become immediately due and payable; and you must stop using the Website and any associated content or materials.
The following sections survive termination of this Agreement: Intellectual Property, Disclaimer of Results, Indemnity, Limitation of Liability, Dispute Resolution, Governing Law, Time Limit on Claims, and General Provisions.
